Understanding Commission-Only Employment Contracts and Gratuity Rights in the UAE

Legal Framework for Commission-Based Employment

In the UAE, employment arrangements that rely exclusively on commissions or performance-based incentives are legally recognized. These contracts are governed by Federal Decree-Law No. 33 of 2021 on the Regulation of Employment Relations and the associated Executive Regulations. While such structures are permissible, they remain subject to the formal approval of the Ministry of Human Resources and Emiratisation and must be enforceable under the oversight of competent courts.

Contractual Requirements and Wage Definitions

Employers and employees are mandated to enter into a formal employment contract that outlines the agreed-upon model of work. Under the law, the term ‘wage’ encompasses the basic salary plus any additional allowances, whether provided in cash or in kind. ‘Basic wage’ is specifically defined as the amount stipulated in the contract in exchange for work, excluding variable components unless otherwise specified.

  • Requirement: The contract must explicitly state the amount or type of wage.
  • Documentation: If a wage is not clearly defined, the competent court has the authority to determine it based on the nature of the work.
  • Inclusion: Commissions derived from sales or profits are considered part of an employee’s total wage.
  • Mandatory Details: Contracts must include the employer’s name and address, along with the employee’s personal details, such as nationality and date of birth.

Calculating End-of-Service Gratuity

Severance pay, or gratuity, is calculated according to Article 51(2) of the Employment Law for employees who have completed at least one year of continuous service. The calculation is based on the following scale

  • First five years: 21 days of wages for each year of service.
  • Subsequent years: 30 days of wages for each year of service.

For commission-only roles, contracts typically include a provision for a nominal basic salary to facilitate these calculations. If no basic salary is defined, the role is categorized as piecemeal work. In such instances, Article 23 of the Employment Law dictates that the daily wage is calculated based on the average earnings received for actual days worked over the preceding period. This approach to calculating daily wages for piecemeal work has been upheld by the Dubai Court of Cassation.

Negotiating Perks and Benefits

Even when a job offer is structured entirely around commissions, employees retain the right to negotiate additional benefits, such as housing allowances or other professional perks. Once these terms are mutually agreed upon and formally incorporated into the employment contract, they become legally binding obligations. Before signing any agreement, it is essential to review the document thoroughly to ensure that the remuneration structure, performance metrics, and benefit entitlements are clearly and accurately defined.
